Understanding how the ATMOSA® equity investment process works and about submitting your business proposal and ideas

 

Equity investment or venture capital financing is the money that ATMOSA® may provide for a percentage of ownership in your company.  In exchange for our capital investment, we may require a board position and possibly a consulting relationship. 

The primary objective of our equity investment is to achieve superior rates of return through timely disposal of our investments.  Structuring the relationship carefully is the most important step in the process.  Our return objectives and exit strategy depend greatly upon the industry and business.  Securities, either common or preferred stock with certain rights such as anti-dilution provisions will be the foundation of any transaction.

Special liquidation preferences with convertible debt may also solidify our exit strategy.  Most of all, your business plan should define the reason for financing, how the capital will be spent and the future plans for venture capital funding or for going public.

Business Proposal Submissions

Please include these important details with your business plan:

1.  List the name of your legal enterprise, location and contact information. 

2.  Identify the name and address of legal counsel.  Name and address of your certified public accountant.

3.  Your business plan should define the reason for financing, how the capital will be spent and timetable.

4.  Why is your idea unique? 

5.  Outline your product and or service that you offer.  Describe the business opportunity and market strategy.

6.  How does your idea make money?

7.  Detail the economics of the business including gross and operating margins along with a break-even analysis.

8.  Include entry and growth strategies, market research and analysis.

9.  Who are your clients/customers?  How large is your market? 

10.  Who are your competitors? Describe market trends, competition, estimated market share and sales.

11.  Detail your manufacturing and operations plans, geographic location, facilities and capacity requirements.

12.  Describe your founders, management team and provide background resumes for key employees.

13.  Provide the organization overview and compensation plans for the management team and key employees.

14.  Do you have current investors?  Detail their relationship, current level of equity investment and ownership.

15.  Describe your marketing channels, geographic market areas, advertising and promotional concepts.

16.  Describe your intellectual properties, copyrights and patents. Competitive advantages?

17.  Your financial plans should include profit and loss forecasts, pro forma cash flow analysis and balance sheets.

18.  5-year projections showing current and future financing, securities offering, capitalization timetable.

19.  How much capital do you require to build your business?

What if you just have a new idea or invention but lack the business plan?

ATMOSA® strictly makes equity investments and we are not in the "invention promotion business". 

Rights to new inventions can be determined by patent attorneys searching published patents and other intellectual property resources.  If your invention or technology is significant, ATMOSA® may elect to develop your invention/enterprise with you in exchange for a equity position in your new company.
